Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On July 30, 2018, William U. Westerfield, submitted his resignation from his position as a member of the Board of Directors (the Board) of Lifetime Brands, Inc., a Delaware corporation (the Company), and all committees of the Board. Mr. Westerfields resignation will become effective on September 30, 2018. Mr. Westerfields resignation was not due to any disagreement with the Company or the Board on any matter relating to the Companys operations, policies or practices.
